By accessing or using ProfAgent ("the Service", "the Platform") at prof-agent.com, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to all terms, you may not use the Service.
2. What ProfAgent Is
ProfAgent is an AI-powered academic workflow platform designed to help researchers, professors, postdoctoral fellows, and research teams manage peer review invitations, draft grant proposals, handle manuscript revisions, track student progress, and discover funding opportunities. The Service provides AI-generated drafts as starting points; all final decisions and submissions remain your responsibility.
3. User Accounts
You must provide accurate, current information when registering. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access at support@prof-agent.com. One account per person; account sharing is not permitted.
4. Acceptable Use
ProfAgent is for lawful academic and research purposes only. You agree not to: submit or process confidential patient data, personally identifiable information of third parties, or classified materials; use AI-generated content in ways that violate your institution's academic integrity policies; submit AI-generated peer reviews to journals without thorough personal review and editing; attempt to reverse engineer, copy, or redistribute the Service; use the Service to generate deceptive, harmful, or misleading academic content.
4a. Federal Grant Review Confidentiality
If you serve on a review committee for CIHR, NSERC, SSHRC, CFI, or any other federal or provincial research funding agency, you are bound by a Conflict of Interest and Confidentiality Agreement that prohibits uploading grant application content to any online AI tool, including ProfAgent. This restriction is imposed by those agencies — not by ProfAgent. If you choose to upload such content in breach of your confidentiality obligations, you do so entirely at your own risk and bear sole responsibility for any consequences, including disciplinary action by the funding agency. ProfAgent accepts no liability whatsoever for any breach of third-party confidentiality obligations by its users.
5. AI-Generated Content Disclaimer
ProfAgent uses AI to generate peer reviews, grant proposal drafts, response letters, and other academic content. You acknowledge that: (a) all AI output is a draft and may contain factual errors, omissions, or hallucinations; (b) you are solely responsible for reviewing, editing, and taking ownership of any content before submission; (c) ProfAgent makes no guarantee of accuracy, completeness, or fitness for any specific purpose; (d) submitting AI-drafted content to journals or funders without substantial personal review may violate their policies.
6. Your Content & Intellectual Property
You retain full ownership of all manuscripts, documents, and data you upload to ProfAgent. By uploading content, you grant ProfAgent a limited, non-exclusive license to process that content solely to provide you with the Service. We do not use your uploaded content to train AI models.

ProfAgent, its platform, source code, user interface design, workflow architecture, AI prompt systems, feature design, branding, and trade dress are the exclusive intellectual property of ProfAgent Inc. and are protected by copyright, trade secret, and applicable intellectual property laws. "ProfAgent" is a trademark. All rights reserved.
You may not: (a) copy, reproduce, modify, or create derivative works of the platform or its design; (b) reverse engineer, decompile, or attempt to extract the source code, AI prompts, or workflow logic of the Service; (c) build a competing product or service using knowledge, design patterns, or features derived from your use of ProfAgent; (d) scrape, harvest, or systematically collect data, features, or UI elements from the platform. Violation of this section may result in immediate termination and legal action.
7. Subscriptions & Billing
Paid plans are billed in advance (monthly or annually). All fees are non-refundable except where required by applicable law. 8. Privacy & Data Security
Your use of the Service is governed by our Privacy Policy. We implement industry-standard security measures. We do not sell, rent, or share your personal data or uploaded content with third parties except as required to deliver the Service.
9. Limitation of Liability
The Service is provided "as is" without warranty of any kind. ProfAgent is not liable for indirect, incidental, or consequential damages, including harm arising from reliance on AI-generated content. Our total aggregate liability shall not exceed the fees you paid in the 12 months preceding the claim.
10. Termination
We may suspend or terminate accounts that violate these Terms. You may close your account at any time by contacting support@prof-agent.com. Upon termination, your data will be deleted within 30 days.
11. Governing Law
These Terms are governed by the laws of the Province of Quebec, Canada. Any disputes shall be resolved in the courts of Montreal, Quebec.
